Orska Rituals Professional Standards & Account Terms

The shared standards that protect the integrity of the Orska Rituals experience.

Orska Rituals is rooted in the idea that professional skincare should be both results-driven and deeply intentional. Our products are shared through approved professionals, spas, wellness spaces, and select retail environments that can honor the line with the same care that went into creating it.

These Standards exist to protect the integrity of the Orska Rituals experience: the professionals who carry it, the clients and customers who receive it, and the intentional spaces where the line is shared.

By opening an account, placing an order, using Orska Rituals in your services, or offering Orska Rituals for retail, you agree to these Standards. They apply to every approved account and to anyone acting on its behalf.

In these Standards, “we,” “us,” and “Orska Rituals” mean Project Numa, LLC, doing business as Orska Rituals. “You” means your approved Orska Rituals account.

Orska Rituals is more than a product line. It is a client experience, a professional offering, and a standard of care.

These Standards are intended to protect:

•     The integrity of Orska Rituals formulas, rituals, education, and professional protocols

•     The experience clients and customers receive when Orska Rituals is used or recommended

•     The professionals, spas, and stockists who carry the line with care

•     The visual, educational, and retail environment surrounding Orska Rituals

•     The long-term health of the Orska Rituals professional community

Professional access is curated, not automatic. Approval to purchase, use, retail, or publicly represent Orska Rituals is granted at our discretion.

These Standards apply to every approved Orska Rituals account, including its owner(s) and any staff, providers, contractors, or representatives acting on the account’s behalf.

If someone on your team uses, sells, displays, promotes, or represents Orska Rituals, you are responsible for making sure they follow these Standards.

Orska Rituals approves accounts based on business type, licensure, brand fit, presentation, client experience, and account history. Approval to purchase Orska Rituals does not automatically create public brand association.

Professional Account

Open to licensed estheticians, cosmetologists, skin professionals, spas, and businesses that employ licensed providers. Professional Accounts may purchase Orska Rituals’ full range, including professional-use, back-bar, and treatment products.

Professional Accounts open at the Studio Partner level and may grow into the Collective Partner and Premier Partner partnership tiers as the practice grows. The current opening-order minimums and the benefits available at each tier are described in our current Orska Rituals partnership materials.

Boutique & Wellness Partner

Open to approved wellness studios, boutiques, and retail environments that may not have licensed providers on staff. Boutique & Wellness Partners may purchase Orska Rituals’ retail product range only. Professional-use, back-bar, and treatment products are reserved for approved Professional Accounts.

Student Account

Open to currently enrolled esthetics students. Students may purchase one Discovery Kit for personal use only. Once licensed, students may apply to open a Professional Account.

Brand Ambassador status

Brand Ambassador status is a separate level of approval granted by Orska Rituals based on our review of how an approved account presents publicly. Brand Ambassador status may include the use of approved brand assets, official imagery, professional protocols, partner materials, and consideration for inclusion in the Orska Rituals public store locator, social channels, or other public features as our community grows.

Until granted Brand Ambassador status, accounts may purchase and use Orska Rituals, share their own content as set out in Section 12, and use approved Pro Vault content within the Orska Rituals Pro Vault Usage Guidelines. The Orska Rituals logo and wordmark, official badges, branded co-marketing materials, and the reserved titles set out in Section 10 are reserved for accounts that hold Brand Ambassador status.

Brand Ambassador status may be paused, changed, or withdrawn at our discretion.

Orska Rituals reviews every application personally. Approval — and consideration for Brand Ambassador status — is granted at our discretion based on factors that include:

•     Presentation of the treatment or retail space, including cleanliness, intentionality, and alignment with the Orska Rituals aesthetic

•     Brand identity and visual presentation, including the cohesiveness and quality of the business’ own brand

•     Quality of photography and imagery used to represent the business publicly

•     Pricing and market positioning, including alignment with premium service expectations

•     Professional credibility, including active licensure where required, an established practice, and the integrity with which the business serves its clients

These criteria are guidance for how we evaluate applications and accounts and do not create an entitlement to approval, Brand Ambassador status, or any specific benefit. Orska Rituals may approve, decline, suspend, or withdraw any account or Brand Ambassador status at its sole discretion.

Professional Accounts must be owned or operated by currently licensed estheticians, cosmetologists, or skin professionals, or by businesses that employ licensed providers.

You must keep all required licenses active and in good standing. You agree to notify us promptly if a required license lapses, is suspended, is revoked, or otherwise becomes inactive.

We may request proof of licensure at any time.

Boutique & Wellness Partners are not required to hold professional esthetics licenses unless they are using Orska Rituals in services or purchasing professional-use products. However, Boutique & Wellness Partners must be legitimate businesses with a physical, brand-aligned retail presence and any required resale or sales-tax permit.

We may request proof of business registration, resale certification, sales-tax permit, insurance, or other business documentation before approval or at any time during the account relationship.

Orska Rituals may be used and sold only within your approved business and only in the manner approved for your account type.

Professional Accounts may use Orska Rituals in treatment services and may retail approved products directly to their clients.

Boutique & Wellness Partners may retail approved Orska Rituals retail products to their customers.

You may not resell, transfer, distribute, or divert Orska Rituals products to other businesses, wholesalers, distributors, unauthorized resellers, or third-party sellers. Orska Rituals products are not to be purchased for resale outside your approved business.

Professional-use, back-bar, and treatment products — including all peels, boosters, and back-bar sizes — may not be resold to end consumers and are restricted to approved licensed Professional Accounts.

Orska Rituals products may not be sold on third-party marketplaces, resale platforms, or third-party websites.

This includes, but is not limited to:

•     Amazon

•     Etsy

•     eBay

•     Walmart

•     Faire

•     TikTok Shop

•     Temu

•     Groupon

•     Daily-deal platforms

•     Flash-sale platforms

•     Auction platforms

•     Subscription-box platforms

•     Discount resale platforms

•     Any similar third-party marketplace or resale channel

Third-party marketplace sales are strictly prohibited.

Online sales through your own website or online store are not automatic and require written approval from Orska Rituals. Approval may depend on account status, brand presentation, pricing compliance, product education, and the quality of the online shopping experience.

Any approved online sales must reflect current Orska Rituals pricing, imagery, product copy, product guidance, and promotional standards.

Orska Rituals maintains a Minimum Advertised Price policy, known as MAP, to protect the value of the line, the professionals who carry it, and the client experience surrounding it.

MAP is the lowest price at which an Orska Rituals product may be publicly advertised, promoted, listed, or displayed. This includes pricing shown on your website, social media, email, paid advertising, marketplace listings, signage, printed materials, or any other public promotional or sales channel.

Our MAP for each product is its Orska Rituals suggested retail price (MSRP), as set out in our current Orska Rituals Price Sheet provided to approved accounts. You may not advertise, promote, list, or display any Orska Rituals product below MSRP unless Orska Rituals has approved a specific promotional exception in writing.

MAP applies to advertised pricing, not necessarily the final price charged at the point of sale. You remain free to set your own retail price; you simply may not publicly advertise Orska Rituals below MSRP.

You may not use discounts, coupons, bundles, loyalty credits, gift-with-purchase structures, rebates, clearance promotions, flash sales, daily-deal offers, or any similar promotion to publicly advertise, list, or display Orska Rituals below MSRP unless Orska Rituals has approved a specific promotional exception in writing.

We may revise MSRP, MAP, and promotional guidelines from time to time. Updates will apply to active accounts once published or shared.

Orska Rituals should be presented in a clean, intentional, and professional environment that reflects the care behind the line.

Products should be displayed, stored, recommended, and used in a way that supports the client experience and protects the integrity of the formulas, packaging, and rituals.

Approved accounts agree to maintain a retail or treatment environment that is professional, clean, organized, and aligned with the Orska Rituals experience.

Orska Rituals should not be displayed in:

•     Clearance bins

•     Discount areas

•     Cluttered retail setups

•     Unsanitary environments

•     Inaccurate or misleading displays

•     Environments that conflict with Orska Rituals’ positioning, product integrity, or client experience

We may request updates to presentation, imagery, copy, merchandising, storage, display, or online representation if needed to maintain the integrity of the Orska Rituals experience.

The Orska Rituals name, logos, trademarks, product names, packaging, photography, written copy, education, protocols, rituals, and professional materials are the property of Project Numa, LLC and are protected by law.

Orska Rituals brand identity assets — including the Orska Rituals logo, wordmark, trademarks, official badges, and branded co-marketing materials — are reserved for accounts that hold Brand Ambassador status and may be used only as expressly authorized by Orska Rituals.

Approved Pro Vault content — including approved product photography, treatment-room visuals, editorial imagery, education materials, training, and curated playlists — is made available to approved accounts for use within the Orska Rituals Pro Vault Usage Guidelines. The Pro Vault license is limited, non-exclusive, and revocable.

Any permission we grant to use Orska Rituals brand assets is limited, non-exclusive, revocable, and subject to any guidelines we provide.

Accounts that do not hold Brand Ambassador status may share their own content as set out in Section 12 and may use Pro Vault content within our Pro Vault Usage Guidelines, but may not use the Orska Rituals logo, wordmark, official badges, or branded co-marketing materials unless specifically approved.

The following titles are reserved for accounts that hold Brand Ambassador status:

•     Orska Rituals Partner

•     Authorized Orska Rituals Provider

•     Authorized Orska Rituals Retailer

•     Orska Rituals Stockist

•     Orska Rituals Affiliate

•     Orska Rituals Educator

•     Orska Rituals Representative

•     Any similar title suggesting official endorsement, affiliation, or partnership

You may not register, use, bid on, or purchase Orska Rituals trademarks, confusingly similar names, domains, URLs, social handles, keywords, paid search terms, or advertising placements without written approval.

Orska Rituals products must be kept in their original packaging and used only as directed.

You may not:

•     Relabel Orska Rituals products

•     Rename Orska Rituals products

•     Repackage Orska Rituals products

•     Decant Orska Rituals products

•     Refill Orska Rituals packaging

•     Dilute Orska Rituals products

•     Mix Orska Rituals products into unauthorized formulas

•     Alter Orska Rituals products

•     Create derivative products from Orska Rituals

•     Create “custom” products from Orska Rituals

•     Sell samples, portions, or repackaged versions unless specifically approved

You may not make medical, drug, disease, or unauthorized performance claims about Orska Rituals products.

You agree to describe Orska Rituals products only in ways supported by the information, education, product guidance, and approved copy we provide.

You are responsible for storing, handling, displaying, and using Orska Rituals products according to our guidance and according to appropriate professional standards.

You agree not to sell or use expired, damaged, contaminated, compromised, or improperly stored product.

Accounts that hold Brand Ambassador status may feature Orska Rituals publicly using approved assets and within the guidelines provided by Orska Rituals. Brand Ambassadors may also be eligible to be tagged, listed, shared, or featured by Orska Rituals.

Approved accounts are welcome and encouraged to share their own photos, videos, and written mentions of Orska Rituals products on their business website, social media, and approved marketing channels. Approved accounts may also use approved Pro Vault content within the Orska Rituals Pro Vault Usage Guidelines. We ask that content shared by approved accounts:

•     Represents Orska Rituals in a professional manner

•     Does not misuse Orska Rituals brand assets

•     Does not make unauthorized claims

•     Does not imply Brand Ambassador status or any other level of approval not granted

•     Does not promote unauthorized discounts

•     Does not conflict with these Standards

The titles set out in Section 10 — Orska Rituals Partner, Authorized Provider, Stockist, Retailer, Affiliate, Educator, Representative, and similar designations — are reserved for accounts that hold Brand Ambassador status.

Orska Rituals may request that an account edit, correct, or remove any content that, in our judgment, misrepresents the brand, product, pricing, approved account status, client experience, product guidance, or overall integrity of the Orska Rituals presentation. Accounts agree to comply promptly with any such request.

Professional pricing, protocols, education, treatment guidance, partner materials, launch materials, business guidance, and other non-public resources are confidential.

These materials are provided for your approved account’s use only.

You may not share, publish, copy, sell, distribute, teach, post, forward, or otherwise disclose confidential Orska Rituals materials outside your approved business without written permission.

This obligation continues even if your account is paused, discontinued, or terminated.

A Discovery Kit is a low-commitment introduction to Orska Rituals available to prospective accounts and to currently enrolled esthetics students. A Discovery Kit purchase does not open a Professional Account.

Discovery Kits may not be resold, sampled, used in paid services, or represented as professional account access unless otherwise approved in writing.

Opening a Professional Account requires a $500 first order.

Approved account access is specific to the approved business and may not be transferred, assigned, shared, or used by another person, business, or entity without written approval from Orska Rituals.

Active accounts are generally expected to maintain at least $1,500 in annual purchases per calendar year. Accounts that do not meet the annual minimum may be reviewed and may be paused, deactivated, or invited to reactivate with a qualifying order, subject to approval.

Reorders may be subject to minimums, shipping terms, and fulfillment requirements as published at the time of order.

Shipping is charged per order unless otherwise stated in writing.

Orders may be fulfilled by Orska Rituals directly or through a fulfillment partner or fulfillment center.

Shipping rates, fulfillment times, methods, carriers, handling fees, and related requirements may change from time to time and will be applied as published at the time of order.

Approval, account type and tier, Brand Ambassador status, and continued account access are granted at our discretion.

We do not guarantee continued access to any product, professional pricing, Brand Ambassador status, account status, or fulfillment method.

We review every account with care and may decline, suspend, pause, discontinue, or terminate access when needed to protect the integrity of the Orska Rituals professional community, client experience, product integrity, or brand.

If an account does not meet these Standards, we may take one or more of the following actions, without limiting our other rights or remedies:

•     Issue a warning

•     Request corrective action

•     Request content removal or correction

•     Withhold orders

•     Cancel orders

•     Suspend professional pricing

•     Pause account access

•     Withdraw Brand Ambassador status

•     Remove access to brand assets or professional materials

•     Deactivate the account

•     Terminate the account

Termination or deactivation does not relieve you of obligations that by their nature continue, including obligations related to intellectual property, confidentiality, product integrity, no diversion, unauthorized claims, and account misuse.

Our decision not to enforce a provision at any time is not a waiver of our right to enforce it later.

We may update these Standards from time to time.

Continued purchasing, use, retail, display, promotion, or representation of Orska Rituals after an update means you accept the updated Standards.

You are solely responsible for the professional services you provide and for the products you apply to, sell to, or recommend for your clients and customers.

Before using or recommending Orska Rituals, you agree to review the ingredients, directions, contraindications, warnings, usage guidance, and product information we provide.

You are responsible for performing appropriate client intake, patch testing, client screening, consultation, and professional judgment based on each client’s skin, history, sensitivities, allergies, conditions, and goals.

You agree to use, apply, store, recommend, and sell Orska Rituals products only as directed, only for their intended purpose, and consistent with applicable standards of practice.

You are responsible for any claims, advice, treatment decisions, protocols, service modifications, recommendations, or representations you make to clients or customers about Orska Rituals products or results.

Except as expressly stated by us in writing, and to the fullest extent permitted by law, Orska Rituals products are provided without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that any product is suitable for any particular client or customer, or that any product will achieve any particular result.

To the fullest extent permitted by law, we are not liable for any injury, reaction, loss, claim, or damage arising from:

•     Your professional services

•     Your or your staff’s handling, application, storage, sale, or recommendation of products

•     Use that does not follow our directions or guidance

•     Your client screening or professional judgment

•     Any claims, advice, or representations you make to clients or customers

•     Any unauthorized use, resale, repackaging, discounting, marketing, or promotion of Orska Rituals products

To the fullest extent permitted by law, our total liability arising out of or relating to the products or these Standards will not exceed the amount you paid us for the product or products giving rise to the claim.

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits.

Nothing in these Standards limits any liability that cannot be limited or excluded under applicable law.

You agree to indemnify, defend, and hold harmless Orska Rituals, Project Numa, LLC, and their owners, officers, employees, contractors, representatives, and agents from and against any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

•     Your professional services

•     Your handling, use, application, storage, marketing, sale, or recommendation of Orska Rituals products

•     Any client or customer reaction, injury, dissatisfaction, claim, or complaint

•     Your breach of these Standards

•     Any claims, advice, promises, or representations you make about Orska Rituals products or results

•     Your violation of any law, regulation, professional rule, or standard of practice

•     Unauthorized resale, discounting, diversion, repackaging, relabeling, or misuse of Orska Rituals products

•     Unauthorized use of Orska Rituals intellectual property, brand assets, protocols, copy, imagery, or materials

You are responsible for maintaining appropriate professional liability, general liability, and/or business insurance for your services and operations.

We may request proof of insurance at any time.

We do not guarantee continued availability of any product, account, Brand Ambassador status, pricing, fulfillment method, educational material, protocol, or brand asset.

These Standards, together with your account agreement, order terms, and any written terms we provide, form the entire agreement regarding professional access and supersede any prior understandings.

If any provision of these Standards is found unenforceable, the remaining provisions will remain in effect.

These Standards are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
